I, the “Affiliate”, in consideration of my use of American Frontline Nurses (AFLN) network, resources, information, consultation, and/or services, have agreed to execute this Affiliate Terms and Conditions Agreement (“Agreement”). As such, I agree to and represent the following:

INTELLECTUAL PROPERTY: I agree and understand that all documents, disclosures, protocols, logos, brands, ETC ETC ETC is the intellectual property of AFLN. I agree that such materials shall not be recreated, rebranded, disseminated, shared, disbursed, duplicated, replicated, or used in any way without the direct, written consent of AFLN. If consent and permission is given by AFLN to Affiliate for the use of any logos, branding or any other materials, said consent and permission may be withdrawn by AFLN at any time by indicating so in writing to Affiliate

WITHDRAW OF AFFILIATION: AFLN reserved the right to revoke, withdraw and nullify this Agreement at any time by indicating so in writing to Affiliate

GUIDELINES AND STANDARDS: It is expected and required that Affiliate uphold the standards, values and mission of AFLN. Failure to do so will result in withdraw of affiliation.

SCOPE OF PRACTICE/INDEMNITY: It is expected that Affiliate will only advocate within the scope or their practice, license, and expertise. Affiliation with AFLN does not give permission, license or any other authority for Affiliate to act in any capacity outside their scope of practice, license or expertise.Affiliation with AFLN pursuant to the Agreement does not create an agency or any other legal relationship. Affiliate is responsible for their own actions and shall indemnify AFLN for any actions and/or omissions which could give rise to any claim for damages.

NON-DISPARAGEMENT/CONFIDENTIALY: AFLN and Affiliate agree that they will not take any action or make any statements, verbal or written, to any third-party that disparage or defame either with regard to or arising from any AFLN related activities. Further, AFLN and Affiliate agree that (i) the terms of this Agreement or Waiver, (ii) any and all material and information provided by AFLN shall at all times remain confidential to the full extent permitted by law and shall not be disclosed in any way to any person or entity except as provided in the paragraph below. AFLN and Affiliate confirm that, as of the date of the execution of this Release, they have not taken any action that would have violated this covenant of confidentiality had it been in effect at the time of said action

Without limiting the generality of the paragraph above, AFLN and Affiliate agree they will not disclose confidential information in any way to any person or entity except (i) with the other party’s prior written consent, which the other party may in their sole and unfettered discretion grant or deny; (ii) pursuant to a validly executed subpoena; (iii) to the party’s agents, including attorneys, investment and tax advisors and accountants, who shall be advised of and required to agree to maintain the confidentiality of the Confidential Information; (iv) to taxing entities; (v) pursuant to a court order; or (vi) as may be necessary to enforce or otherwise litigate the provisions of this agreement.

ATTORNEY ADVISEMENT: Affiliate agrees that they have been advised to consult with an attorney prior to executing this Agreement. Affiliate understands and agrees that they have voluntarily signed this Agreement. AFFILIATE FULLY UNDERSTAND THAT, BY SIGNING THIS WAIVER, THEY ARE WAIVING IMPORTANT LEGAL RIGHTS.
